Setting up a Company

If you have decided that a company is the right business vehicle, our company and commercial team can act quickly to form a company with the right structure for you.

Company Formation Services

Standard Incorporation Service

Borneos can form a brand new company with your own choice of name (if that name is available at Companies House) using our standard documents (called the Memorandum and Articles of Association). The company will usually be formed within five working days. If time is pressing, we can either shorten this time, or acquire an off-the-shelf company for you.

Off-the-shelf Company

For greater speed, we can acquire an existing company and then change its name. Changing the name of an existing company will take up to five working days, but as the company is already formed and in existence, it can be transferred to you immediately. These off-the-shelf companies are usually formed with a share capital of £1,000 divided into 1,000 £1 shares and the Memorandum and Articles of Association are designed to be used by a general commercial company, so some changes might be needed to suit your particular circumstances.

Specialised Company Formation

Company Limited by Guarantee

We can set up a tailored company which is limited by guarantee. This type of company is more suitable for use by clubs, societies and trade associations as well as charitable companies.

Charitable Company

We have the expertise to form a company limited by guarantee for charitable purposes. This requires specific drafting of the objects of the company to ensure that the company’s aims comply with the relevant charities' legislation and will enable you to register your charity with the Charity Commission.
